In addition to the Master Campaign Agreement, BURST Oral Care requires Affiliates to accept and comply with the additional terms and conditions set forth below. Affiliate will not bid on the BURST Oral Care brand name, variations of the brand name, search terms or phrases containing the brand name, any common misspellings or confusingly similar names on any pay-for-placement search engines and their content networks, including but not limited to Google, Yahoo, Bing, and Ask. Affiliate will not bid on BURST Oral Care brand terms combined with any other terms, including, but not limited to, “coupons”, “offers”, or “discounts”. Affiliate will not use BURST Oral Care in the display URL for paid search ads.  Affiliate will not mask its URL with any BURST Oral Care display URL. Affiliate will not direct link to the BURST Oral Care website in pay-per-click (“PPC”) campaigns. All PPC links must direct visitors to the Affiliate website. Affiliate will not utilize, advertise or otherwise promote any BURST Oral Care promotional codes, offers, or coupons not obtained through Impact Radius. Excluded sources include but are not limited to: BURST Oral Care direct-to-consumer email campaigns, catalogs, paid search ads, in-store coupons, social media, user-generated content, and other BURST Oral Care Affiliates. Ad copies must not be a duplication of any ongoing BURST Oral Care paid search campaign. Affiliate will not use “official site” or the registered/trademarked ® symbol in search copy ads when referring to BURST Oral Care. Affiliate may not use the BURST Oral Care name, misspellings, or any variation thereof, directly or indirectly in the Affiliate's domain or sub-domain. Affiliate must comply with the BURST Oral Care coupon and promotion code policy, which states that affiliates may only use coupons and promotional codes that are provided exclusively through the affiliate program. Affiliate shall notify BURST Oral Care in advance if the Affiliate is domiciled in a state that has adopted nexus tax laws, which specifically impose the collection of taxes from consumers on sales by online retailers, including, but not limited to, those referred by Affiliate, even if those retailers have no physical presence in the state (“Nexus Tax Laws”). Affiliate shall defend, indemnify and hold BURST Oral Care and its shareholders, directors, officers, employees, subcontractors and agents harmless against all claims, suits, costs, damages, liabilities, expenses (including court costs and reasonable attorneys’ fees), settlements and judgments incurred, claimed or sustained to the extent arising from Affiliate’s violation of applicable law and/or any act or omission of Affiliate that would cause BURST Oral Care to be subject to Nexus Tax Laws. By participating in the BURST Oral Care Affiliate Program, Affiliate agrees to the terms and conditions, rules, regulations, policies, and procedures of the program, as may be enforced and changed at any time without notice. BURST Oral Care reserves the right to terminate or suspend participation of any Affiliate in the BURST Oral Care Affiliate Program at its sole discretion. BURST Oral Care reserves the right to reverse or suspend commissions on sales obtained or generated in violation to these terms. BURST Oral Care reserves the right to offset against amounts owing or otherwise disqualify Affiliates who have violated any of the terms and conditions of this program. BURST Oral Care further reserves the right to change or terminate this program, its terms and conditions, or any portion of the program at any time at its sole discretion without prior written notice.    Affiliate acknowledges that it has read, understands, and agrees to the BURST Oral Care Affiliate Program Terms & Conditions. BURST Oral Care Affiliates may only use coupon and promotional codes that are provided exclusively through the affiliate program. Any and all pay-outs associated with an unauthorized coupon or promotional code will be reversed.
